Form 11 is the Annual Return of an LLP, filed under Section 35 of the LLP Act, 2008 and Rule 25 of the LLP Rules, 2009. It's essentially a yearly snapshot — as on 31st March — of the total number of partners and designated partners, any changes in partners during the year, total capital contribution received from all partners, details of body corporate partners if any, and a summary of penalties or compounding offences if applicable.
Unlike Form 8, which reports financial statements, Form 11 is purely a structural and partner-data return — it doesn't require profit, loss, or balance sheet figures. It's filed on the MCA V3 portal and, once approved, becomes part of the LLP's permanent public master data. Filing is mandatory for every LLP regardless of turnover, profit, or whether operations have even started — a dormant LLP with zero transactions still has to file a NIL Form 11.
The financial year covered runs from 1 April 2025 to 31 March 2026, and the due date falls within 60 days of that close — practically, 30th May 2026. The Ministry of Corporate Affairs has already issued a public advisory reminding stakeholders to complete Form 11 filing for FY 2025-26 before this date, warning that late filing may result in heavy late fees charged on a per-day basis without any upper limit.
Tip: File in the first two weeks of May. The MCA V3 portal sees heavy traffic and timeout errors in the last week before the deadline — waiting until 28–30 May is the single most common cause of last-minute filing failures.

Beyond the daily penalty, the LLP and its designated partners can be marked as defaulters on the MCA portal, which can block bank loan applications, tender eligibility, and due-diligence checks by investors or clients. Under Rule 37 of the LLP Rules, 2009, the Registrar can strike off an LLP that fails to file Form 8 and Form 11 for two consecutive financial years, and pending Form 11s must be cleared even where the LLP has applied for voluntary closure — the ROC won't approve strike-off with outstanding annual filings.
Note: the Company Fresh Start Scheme (condonation window) applies only to companies under the Companies Act, 2013. There's currently no equivalent amnesty scheme for LLPs — accumulated penalties on overdue Form 11 filings must be paid in full.
